{"id":500,"date":"2025-07-30T19:13:55","date_gmt":"2025-07-30T22:13:55","guid":{"rendered":"https:\/\/lenglerlaw.com\/?p=500"},"modified":"2025-07-30T19:14:10","modified_gmt":"2025-07-30T22:14:10","slug":"quotas-para-mulheres-no-conselho-de-administracao-de-sociedades","status":"publish","type":"post","link":"https:\/\/lenglerlaw.com\/en\/quotas-para-mulheres-no-conselho-de-administracao-de-sociedades\/","title":{"rendered":"Quotas para mulheres no Conselho de Administra\u00e7\u00e3o de Sociedades"},"content":{"rendered":"<p style=\"font-weight: 400;\">Foi sancionada nesta quarta-feira dia 23\/07 a Lei n\u00ba 15.177\/25, que altera a Lei das Sociedades An\u00f4nimas (Lei n\u00ba 6.404\/76) e estabelece a obrigatoriedade de reserva m\u00ednima de<strong> 30%<\/strong> de participa\u00e7\u00e3o de mulheres em conselhos de administra\u00e7\u00e3o das seguintes sociedades:<\/p>\n<ol style=\"font-weight: 400;\">\n<li>sociedades de economia mista e empresas p\u00fablicas, bem como suas subsidi\u00e1rias e controladas;<\/li>\n<li>companhias em que Uni\u00e3o, Estados, munic\u00edpios ou o Distrito Federal detenham a maioria do capital social com direito a voto, direta ou indiretamente; e<\/li>\n<li>companhias abertas, de forma facultativa.<\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Dentro destes 30%, h\u00e1 uma reserva adicional: pelo menos 30% dever\u00e3o ser preenchidos por mulheres negras ou com defici\u00eancia.<\/p>\n<p style=\"font-weight: 400;\">As sociedades poder\u00e3o preencher gradualmente os cargos para mulheres em seus conselhos, da seguinte forma:<\/p>\n<p style=\"font-weight: 400;\"><strong>I<\/strong> \u2013 10% na primeira elei\u00e7\u00e3o para os cargos de conselho ocorrida ap\u00f3s em entrada vigor da lei;<\/p>\n<p style=\"font-weight: 400;\"><strong>II<\/strong> \u2013 20% na segunda elei\u00e7\u00e3o subsequente; e<\/p>\n<p style=\"font-weight: 400;\"><strong>III<\/strong> \u2013 30% na terceira elei\u00e7\u00e3o subsequente, momento a partir do qual passa a valer a obrigatoriedade de reserva adicional para mulheres negras e\/ou com defici\u00eancia.<\/p>\n<p style=\"font-weight: 400;\">O conselho de administra\u00e7\u00e3o da sociedade empres\u00e1ria especificada no item \u201ca\u201d e \u201cb\u201d acima que, por qualquer raz\u00e3o, infringir o disposto nesta lei, ser\u00e1 impedido de deliberar sobre qualquer mat\u00e9ria.<\/p>\n<p style=\"font-weight: 400;\">Para as companhias abertas n\u00e3o foram especificadas penalidades, vez que a ades\u00e3o \u00e9 facultativa.<\/p>\n<p style=\"font-weight: 400;\">A lei ser\u00e1 revisada ap\u00f3s 20 anos de sua publica\u00e7\u00e3o, portanto, em julho de 2045.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Foi sancionada nesta quarta-feira dia 23\/07 a Lei n\u00ba 15.177\/25, que altera a Lei das Sociedades An\u00f4nimas (Lei n\u00ba 6.404\/76) e estabelece a obrigatoriedade de [&hellip;]<\/p>\n","protected":false},"author":3,"featured_media":524,"comment_status":"closed","ping_status":"closed","sticky":false,"template":"","format":"standard","meta":{"_acf_changed":false,"footnotes":""},"categories":[6],"tags":[],"class_list":["post-500","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-bussola-juridica"],"acf":[],"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v27.4 -
